# CS-Foundry Internal Use License – Modified Shield License

## 1. Acceptance

By receiving, copying, installing, accessing, or using the Software, you agree to all terms of this License.  
These terms are binding conditions and obligations for all rights granted to you.

## 2. Definitions

- **Licensor**: CS-Foundry.
- **You / Your**: The individual or legal entity accepting this License.
- **Your Company / Your Organization**: Any organization you work for or represent, including affiliates.
- **Affiliate**: Any entity controlling, controlled by, or under common control with another entity.
- **Control**: Direct or indirect power to direct management or policies, or ownership of substantially all assets.
- **Software**: All files, source code, binaries, container images (e.g., Docker images), documentation, and related materials provided under this License.
- **Internal Use**: Use within Your Organization only, without providing the Software or its functionality to third parties.
- **Distribution**: Any act of selling, licensing, renting, publishing, hosting, sharing, sublicensing, or otherwise giving the Software or its functionality to any third party, in modified or unmodified form.
- **Competing Product**: Any product or service that could reasonably be marketed as a substitute for the Software or any product or service offered by CS-Foundry.

## 3. Copyright License (Use Permission)

The Licensor grants you a non-exclusive, non-transferable, revocable license to:

- Use the unmodified Software for Internal Use, including commercial internal use within your organization.
- Execute the Software in provided or authorized environments, including containerized deployments (e.g., Docker images).

### Restrictions:

You may not:

- Modify, alter, translate, fork, reverse-engineer, decompile, extract, or create derivative works.
- Combine or integrate the Software into other distributed products.
- Publish or share modified or original code.

All rights not expressly granted are reserved by CS-Foundry.

## 4. Prohibition of Distribution, Sale, and Commercial Offering

You may not:

- Sell the Software.
- Distribute, sublicense, license, rent, lease, transfer, or share the Software.
- Provide the Software or its functionality as a hosted service, cloud service, SaaS, PaaS, or similar offering.
- Use the Software to deliver services to third parties.
- Offer consulting, IT services, or integration services using the Software.
- Share the Software or container images externally.

### Examples of prohibited actions:

- Selling the Software as your own product.
- Embedding the Software into a product delivered to customers.
- Hosting the Software and letting customers access it.
- Uploading or sharing the Software or Docker image publicly.

## 5. Permitted Use by Employees and Contractors

Employees, contractors, or agents of Your Organization may use the Software under the same restrictions.  
They must be bound by terms no less restrictive than this License.

## 6. Noncompete Clause

You may not use the Software to develop, offer, or promote any Competing Product.  

Competing Products include (but are not limited to):

- Software offering the same core functionality
- Tools, services, platforms, or frameworks marketed as alternatives
- Hosted or cloud-based versions of similar functionality
- Free or open-source substitutes you release or distribute

If CS-Foundry releases a new product or service that competes with something you built using earlier versions of the Software, you may continue using the previously available versions but not any later versions.

## 7. No Modifications or Derivative Works

You are not permitted to:

- Modify the Software
- Create derivative works
- Fork the repository
- Translate or adapt the code

Only CS-Foundry may change or extend the Software unless explicitly permitted in writing.

## 8. Patent License

CS-Foundry grants you a limited patent license covering patent claims that CS-Foundry owns and that are infringed by using the unmodified Software.  

If you or Your Company make a written claim that the Software infringes a patent, this patent license terminates immediately.

## 9. Distribution Requirements (if explicitly authorized)

If CS-Foundry grants written permission to distribute parts of the Software, you must:

- Include this License in full with every distributed copy.
- Include all Required Notice: lines from CS-Foundry unchanged.

Without explicit written permission, no distribution of any kind is allowed.

## 10. Auditing and Compliance

CS-Foundry may request reasonable proof of compliance with this License.  
You agree to cooperate with such requests, provided they do not disclose unrelated confidential information.

## 11. Violations and Termination

If notified in writing of a violation:

- You have 32 days to correct the violation and take reasonable steps to prevent future violations.

If you do not comply within this period, all rights under this License terminate immediately.  

After termination, you must:

- Cease all use of the Software
- Delete all copies inside your organization
- Provide written confirmation of deletion if requested

CS-Foundry reserves all legal rights, including claims for damages.

## 12. Disclaimer of Warranty

As far as the law allows, the Software is provided "as is", without warranties or conditions of any kind, including but not limited to:

- Merchantability
- Fitness for a particular purpose
- Non-infringement

## 13. Limitation of Liability

CS-Foundry shall not be liable for:

- direct or indirect damages
- loss of business or revenue
- loss of data
- incidental or consequential damages
- business interruption

even if CS-Foundry has been advised of the possibility of such damages.

## 14. Indemnification

You agree to indemnify and hold CS-Foundry harmless against any claims, damages, or costs (including attorney fees) arising from:

- Your breach of this License
- Unauthorized distribution
- Use of the Software in violation of applicable law

## 15. Severability

If any provision of this License is deemed unenforceable, the remaining provisions remain in effect.  
The invalid provision will be replaced by one that most closely achieves the original purpose.

## 16. No Transfer or Sublicensing

You may not:

- Transfer this License
- Assign it
- Sublicense any rights
- Share license rights with third parties

CS-Foundry may enter additional agreements with other parties independently.

## 17. Governing Law and Jurisdiction

This License is governed by the laws of the Federal Republic of Germany.  
Exclusive jurisdiction for all disputes shall be in Berlin, Germany, where legally permissible.

## 18. Entire Agreement and Written Form

This License constitutes the entire agreement between you and CS-Foundry regarding the Software.  
Changes must be made in writing and signed by CS-Foundry.
