IMPORTANT: By using this software, you agree to be bound by the terms of this Business Source License (BSL) 1.1. If you do not agree with these terms, do not use the Software.

1. DEFINITIONS

   1.1 "Software" means the source code and object code of the program distributed under this License.  
   1.2 "Licensor" means Govex DAO LLC.   
   1.3 "Commercial Use" means any use of the Software that directly or indirectly results in revenue generation, supports a commercial product or service, or is integrated into or used to provide a commercial offering.

2. GRANT OF LICENSE

   2.1 Licensor hereby grants you a limited, non-exclusive, non-transferable license to use, copy, and modify the Software solely for non-commercial purposes, including evaluation, development, and internal research.  
   2.2 This license expressly prohibits any Commercial Use of the Software, including, but not limited to, commercial production, distribution, sublicensing, or incorporating the Software into any product or service offered commercially, unless you have obtained a separate, written commercial license from the Licensor.

3. COMMERCIAL USE RESTRICTIONS

   3.1 Any attempt to use the Software for Commercial Use without obtaining a proper commercial license from the Licensor shall be considered a material breach of this License.
   3.2 The Licensor reserves the right to seek all available legal remedies for any unauthorized Commercial Use.

4. DISCLAIMER OF WARRANTY

   4.1 THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.  
   4.2 THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE IS FREE OF ERRORS OR WILL OPERATE UNINTERRUPTED.

5. LIMITATION OF LIABILITY

   5.1 IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

6. TERMINATION

   6.1 This License is effective until terminated. If you fail to comply with any of its terms, including the prohibition on Commercial Use, your rights under this License will terminate immediately.  
   6.2 Upon termination, you must cease all use of the Software and destroy all copies in your possession.

7. MISCELLANEOUS

   7.1 This License constitutes the entire agreement between you and the Licensor with respect to the Software and supersedes any prior agreements.  
   7.2 If any provision of this License is held to be unenforceable, the remaining provisions shall remain in full force and effect.  
   7.3 This License is governed by and construed in accordance with the laws of The Marshall Islands.
