This Internal Use License Agreement (the "Agreement") by and between Tech Syndicate (hereinafter referred to as the "Company"), represented by its owner, Aayush Garg (hereinafter referred to as the "Licensor"), and any authorized user (hereinafter referred to as the "Licensee").
1.1. Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the software application (the "App") internally within the confines of Tech Syndicate for the purpose of steaming registeration of robotronics.
2.1. Licensee shall not reproduce, distribute, modify, or create derivative works of the App for any purpose beyond its intended internal use within Tech Syndicate.
2.2. Licensee shall not sublicense, rent, lease, lend, or otherwise transfer the App to any third party.
2.3. Licensee shall not reverse engineer, decompile, or disassemble the App, except to the extent that such restriction is expressly prohibited by applicable law.
3.1. The App and all associated intellectual property rights are and shall remain the exclusive property of Licensor.
3.2. Licensee acknowledges and agrees that the App is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
4.1. This Agreement shall commence on the Effective Date and shall continue until terminated by either party.
4.2. Licensor may terminate this Agreement at any time and for any reason upon written notice to Licensee.
4.3. Upon termination, Licensee shall immediately cease using the App and shall destroy all copies of the App in its possession.
5.1. This Agreement shall be governed by and construed in accordance with the laws of Delhi, India, without regard to its conflict of law principles.
6.1. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
